Do you have the Full CD version? There are update/patches that for installing on NT4 SP4 and above.. http://www.ulead.com/tech/c3d/c3d_ftp.htm

If you don't have the CD, the patches will not work, and you probably will not get it to install on XP..

Aren't you both thinking about Vista while typing XP?

I use PS on two computers with XP not problems whatsoever.

The OP is asking about a very old version. According to Ulead's website you need to install a patch to get it to run on NT4 or higher, and XP is definitely higher than NT4..;)
