I just bought photo impact 12 and also download the newest updates.
I then went to design some text and none of the templates or image things are downloaded and p12 says that i need to download the content thing.
so i download upi12_content_e.exe (which was one of the links sent with purchase), exery time i run it it does nothing. So basically I have no content in my photo impact 12.
I have re downloaded the software and installed it.
Any advise?

Are you running Vista or XP? You need to install it under an Admin account, or at least right-click on the install file and choose Run As Administrator. Try disabling Windows Defender if you're running Vista. I'm getting the impression that M$ came up with this jewel of a program, to keep people from installing anything that does not have their name on it.
Have you tried looking in the ~Ulead Systems\PhotoImpact12 folder to see if they did install? There should be subfolders such as Samples, with bitmap images.
