Generally that will occur when there has been some kind of data corruption on the burning of the disc. It could be straight data corruption or it could be a failure to correctly finalise the disc... you DID finalise didn't you?! I would imagine it has to re-encode to some degree if only to rewrite the time stamp to stay in alignment with the different video properties.
However I would also imagine that the "re-encode" would be very close to no re-encode in terms of bitrate etc.

The audio is Dolby Digital. Most likely you do not have a dolby codec associated with WMP.
One of the other players that Ron mentioned are free and usually come with a dobly decoder that will allow the sound to play.
